Terms of Service

1. The service
Privatecos is a marketplace that connects business owners ("sellers") and investors ("buyers") to explore and complete private company transactions. We provide the platform — listings, valuations, messaging, and data rooms. We are not a party to any transaction, and we are not a broker-dealer, law firm, accounting firm, or investment advisor.
2. Your account
You must provide accurate information when registering and keep your credentials secure. You are responsible for activity under your account. We may suspend accounts that breach these terms, misrepresent information, or put other users at risk.
3. Listings and information
Sellers are responsible for the accuracy of the information and documents they upload. Buyers are responsible for their own due diligence. Information on the platform — including AI-generated valuations — is provided for informational purposes only and does not constitute investment, legal, or tax advice, nor a guarantee of any transaction outcome or price.
4. Confidentiality
Material shared in data rooms is confidential. By requesting or accepting access, you agree not to disclose, misuse, or trade on non-public information received through the platform, and to honor any non-disclosure agreement executed between you and the other party.
5. Acceptable use
You agree not to scrape the platform, circumvent access controls, contact counterparties outside the platform to evade fees, upload unlawful content, misrepresent your identity or authority, or use the platform to solicit for competing services.
6. Fees
Creating an account and listing a company is free. Any paid features or success-based fees are presented clearly before you commit, and are processed by our payment provider.
7. Intellectual property
The platform, its design, and its software remain our property. You retain all rights to the content you upload and grant us a limited license to host and display it as needed to operate the service, subject to the anonymity controls described in our Privacy Policy.
8. Liability
The platform is provided "as is". To the maximum extent permitted by law, we are not liable for indirect or consequential damages, lost profits, or the conduct of other users, and our aggregate liability is limited to the fees you paid us in the twelve months preceding the claim. Nothing in these terms excludes liability that cannot be excluded by law.
9. Termination
You may close your account at any time. We may terminate or suspend access for breach of these terms. Sections that by their nature should survive — confidentiality, liability, governing law — survive termination.
10. Changes, governing law and contact
We may update these terms and will notify you of material changes. Continued use after changes take effect constitutes acceptance. Questions: support@privatecos.com.
